These terms govern the hiring and use of Pranarp Club, the cloud management software for sports clubs and facilities provided by Adrià Colomer Serra (the “provider”). By creating the club’s account or using the service, the club or professional that hires it (the “customer”) accepts them on its own behalf and declares that it has authority to do so.
1. Parties
- Provider
- Adrià Colomer Serra, tax ID 33956328W, with address at C/Mallol, 35 2n 2a.
- Contact
- info@pranarpclub.com
- Customer
- The club or professional named on the account, with the tax details it enters in the application.
The service is aimed exclusively at clubs, companies and professionals for their business activity. The customer does not act as a consumer, so the right of withdrawal under consumer law does not apply.
2. The service
Pranarp Club is a web application (software as a service) for managing a club’s court and space bookings, rates, schedules, players, members and memberships, and for giving players an area to book and review their bookings. The features and limits included depend on what has been hired and are described on the website and in the application itself.
The provider may improve, change or remove features. If a change substantially reduces the features hired, the provider will give at least 30 days’ notice and the customer may cancel without penalty.
3. Sign-up and account
The customer must provide accurate details and keep them up to date. The customer is responsible for the people it gives access to (team, employees), the permissions it assigns them and keeping their credentials safe, and must notify the provider as soon as it detects unauthorised access. The person who creates or receives the club owner account accepts these terms and the privacy policy when setting their password; the provider stores the version accepted and the date.
4. Price, invoicing and payment
- The price and billing period are those published on the website when the service is hired or those agreed in writing with the customer.
- The provider charges no commission on the payments the club receives from its players.
- Invoices are issued electronically and made available to the customer.
- The provider may update prices by giving at least 30 days’ notice. The new price applies from the next billing period; if the customer disagrees, it may cancel before that date.
- If a charge fails, the provider will retry it and notify the customer. If payment is still outstanding 15 days after the notice, the provider may suspend access until it is settled, without this meaning that the data is deleted.
5. Cancellation
The customer may cancel the service at any time by writing to info@pranarpclub.com. Cancellation takes effect at the end of the period already paid, until which the service remains available. Amounts for periods already started are not refunded, except for a billing error or as provided in section 2.
The provider may terminate the contract if the customer seriously breaches these terms (for example, unlawful use of the service or prolonged non-payment), with prior notice where possible.
6. Acceptable use
The customer agrees to use the service in accordance with the law and these terms and, in particular, not to:
- store or send unlawful content, or unsolicited commercial communications to its players without a legal basis;
- try to access other clubs’ data, breach the security of the service or run load or penetration tests without authorisation;
- resell, sublicense or copy the service, or reverse engineer it except as permitted by law.
7. Customer data and data protection
The data the club enters in the application (including that of its players) is the club’s own. The club is the controller of that data: it must have a legal basis to process it, inform the people concerned (the application publishes a privacy page for each club) and handle their rights.
The provider acts as processor and processes that data only to provide the service, under the Data processing agreement, which forms part of these terms and is accepted with them. User account data that the provider processes as controller is governed by the Privacy policy.
8. Availability and support
The provider will use reasonable means to keep the service continuously available, with regular backups. Interruptions may occur for maintenance (which we will try to schedule at quiet times and announce in advance where possible) or for reasons beyond the provider’s control. Support is provided by email on working days.
9. End of the contract and return of data
When the contract ends, the customer has 30 days to export its data or request a copy in a structured format. 90 days after the end of the contract, the provider deletes the customer’s data from its active systems; backups are overwritten in their normal cycle. Data that must be kept by legal obligation (for example, invoices issued by the provider, for 6 years) is excepted and kept blocked.
10. Intellectual property
The software, its design and its documentation belong to the provider. The customer receives a non-exclusive, non-transferable right of use for as long as the contract is in force. If the customer sends improvement suggestions, the provider may use them freely.
11. Liability
Each party is liable for the damage it causes by breaching these terms. The provider’s total liability, on any ground, is limited to the amount paid by the customer in the 12 months before the event giving rise to it. The provider is not liable for loss of profit, loss of business opportunities or indirect damage, nor for damage caused by use of the service contrary to these terms. These limitations do not apply in cases of wilful misconduct or gross negligence.
12. Changes to the terms
The provider may modify these terms. It will give at least 30 days’ notice of significant changes by email or in the application. If the customer keeps using the service after that date, it is deemed to accept the new version; if it disagrees, it may cancel beforehand without penalty.
13. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the courts of Vic, waiving any other jurisdiction.
